| KENDA Equity Partners, L.P. (the “Fund”) was formed to invest primarily in profitable public or private U.S.-based companies undergoing an LBO or MBO. The Fund raises commitments from limited partners. The Fund’s strategy leverages the recruiting, M&A and leadership experience of the Investment Manager and its ability to identify and evaluate investment opportunities, and to support the growth of the partnership’s portfolio companies. The Fund will seek investments of $1 million to $5 million per portfolio company and will invest primarily in recapitalization and buyout opportunities where it is typically all or part of the first institutional investor group and has control or significant governance influence. The Fund will target a gross annual internal rate of return (“IRR”) of 25% and a 3x multiple of invested capital. The Partnership’s primary investment objective is to seek high absolute risk-adjusted returns with a specific focus on companies and investments undergoing an LBO or MBO.
Investment Team - General Partner and Investment Manager
KEP Associates, LLC, a Delaware limited liability company (the “General Partner”), serves as the general partner of the Partnership. The sole manager of the General Partner is Stephen K. Kenda. The General Partner has exclusive control over the management, conduct and operation of the Partnership’s affairs. As described below, the General Partner has delegated the responsibility for managing the Partnership’s investment portfolio to its affiliate, KENDA Capital Management, LLC, a Delaware limited liability company (the “Investment Manager”), pursuant to an investment management agreement.
The Investment Manager is responsible for the management of the Partnership’s investment portfolio and performing certain other management and administrative functions. The Investment Manager is not registered with the SEC as an investment adviser under the Advisers Act and does not anticipate registering during the term of the Partnership.
